Terms of Service

These Terms of Service ("Terms") govern access to and use of Approv websites, applications, and related services (the "Services") operated by Approv ("Approv," "we," "us," or "our").
By creating an account, joining a workspace, submitting early access information, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. The Services
Approv provides software to help organizations manage access requests, approvals, grants, resources, and integrations with third-party systems (for example GitHub, Bitbucket, and Google Drive). Features may change as we improve the product, especially during early access.
2. Accounts and workspaces
- You must provide accurate registration information and keep credentials secure.
- You are responsible for activity under your account and for users you invite into your organization workspace.
- Organization administrators control membership, integrations, resources, and settings for their workspace.
- Notify us promptly at jharold.dev@gmail.com if you suspect unauthorized access.
3. Acceptable use
You agree not to:
- Use the Services illegally or to violate others' rights
- Attempt to gain unauthorized access to systems, data, or other customers' workspaces
- Interfere with or disrupt the Services (including abuse of APIs or rate limits)
- Upload malware or content that is unlawful, harmful, or infringing
- Reverse engineer the Services except where permitted by law
- Use integrations in ways that violate the third party's terms (for example Google, GitHub, or Bitbucket policies)
4. Customer content and integrations
You retain ownership of content and data you submit to Approv ("Customer Content"), including user information, requests, grants, and resource metadata. You grant Approv a limited license to host, process, and display Customer Content solely to provide and improve the Services.
When you connect third-party services, you authorize Approv to access and use those services on your behalf within the scopes you grant. You are responsible for configuring integrations correctly and for access changes performed through Approv in connected systems.
Disconnecting an integration stops sync; imported resources and historical grants in Approv are not automatically deleted. Access already granted in the third-party system is not automatically revoked unless you revoke grants (or equivalent) in Approv while connected.
5. Early access and betas
Features labeled early access, beta, or preview are provided "as is," may be incomplete or change, and may be suspended. Feedback you provide may be used to improve Approv without obligation to you.
6. Fees
Paid plans, if any, are described on our pricing page or in an order form. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing with notice for renewals or as permitted by your plan terms.
7. Intellectual property
Approv and its licensors own the Services, branding, documentation, and related intellectual property. These Terms do not transfer ownership of our IP to you. You may not use Approv branding without prior written permission, except for reasonable attribution of the product name.
8. Confidentiality
Each party may receive confidential information from the other. Recipients must protect that information with reasonable care and use it only for purposes allowed under these Terms, except for information that is public, independently developed, or required to be disclosed by law.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ACCESS PROVISIONING IN THIRD-PARTY SYSTEMS WILL ALWAYS SUCCEED.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPROV WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
APPROV'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO APPROV FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS (US $100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS.
11. Indemnity
You will defend and indemnify Approv against claims arising from your Customer Content, your misuse of the Services, your violation of these Terms, or your use of integrations in ways that violate third-party terms or applicable law.
12. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or for non-payment. Upon termination, your right to use the Services ends. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.
13. Changes
We may update these Terms by posting a revised version on this page and updating the effective date. Continued use after changes become effective constitutes acceptance, except where applicable law requires additional consent.
14. General
These Terms are the entire agreement between you and Approv regarding the Services and supersede prior agreements on the same subject. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Governing law and venue will be determined by Approv's principal place of business, or as otherwise required by mandatory local consumer law. Courts may apply mandatory consumer protections that cannot be waived.
